Rebaza, Alcázar & De Las Casas in Lima, Peru advised the sellers, which are members of Arias Resource Capital Management and Grupo Raffo, respectively, in the execution of a definitive agreement dated 01 April 2025 for the sale of all issued and outstanding shares of Compañía Minera Kolpa S.A. (Kolpa) to Endeavour Silver Corp. (Endeavour). Closing is expected to occur in two months or around mid-2025, subject to certain customary conditions precedent.
The aggregate consideration for the transaction is USD 145 million, comprising a portion payable in cash and in equity. There is also a contingent payment subject to certain events.
