Garrigues advised on a major transaction in Cataluña
Sarbus Group is a leading corporate group in Cataluña in the interurban and private hire road passenger transportation industry. In turn, the Group manages and owns interests in several urban transportation companies: Tomb Bus, Aeroport Bus, Tramvias Metropolitans, Autobusos Municipals de Lleida, etc.
Until the transaction closed, the Group?s shareholders were two families from Sabadell, the Martí family (long-standing clients of Garrigues) and the Renom family. The purchase marks the end of one and a half years of negotiations between the two families as a result of the Renom family?s previously stated wish to dispose of their investment. This has culminated in the acquisition by the Martí family of 100% of the capital of all the Group companies.
Garrigues provided total support to the purchasers in the deal: the firm advised them throughout the negotiations, designed and implemented the tax planning aspects of the transaction; performed the purchase due diligence review, and negotiated the related purchase agreements through their various phases.
Under the coordination of Manel Maragall and Miguel Acosta, the following were members of the Garrigues team who acted in the transaction: Laura García, María Sala-Vivé and Nahikari Esturo (Corporate and Commercial Law); Josep Torras and Francisco Chamorro (Tax); Lluis Cases, David Sanz and Mercé Reverter (Administrative Law); Misi Borras and Marta Aliaga (Labor Law); and Mariotti Hernández (Patents and Trademarks).
The seller was represented by Roca Junyent.
The transaction close took place on Monday, November 22.
