Marval Advises Danone and Arcor on the Creation of a Dairy Leader in Argentina

Marval has advised Danone, a global leader in food and beverages, in the creation of a strategic Joint Venture with Arcor S.A.I.C., one of Argentina’s leading food companies, with the aim of creating a leading dairy company in Argentina.

The transaction contemplates the joint acquisition of the remaining controlling stake in Mastellone Hermanos S.A., as well as the integration of the existing shareholdings of Danone and Arcor in two key players in the dairy sector: Danone Argentina S.A. (primarily focused on the yogurt and desserts business) and Mastellone Hermanos S.A. (primarily dedicated to the dairy segment). These companies are owners of emblematic brands such as La Serenísima and Ser, among others. The transaction is subject to compliance with customary closing conditions, including the obtaining of the corresponding regulatory approvals.

Marval O’Farrell Mairal acted as legal advisor to Danone through a multidisciplinary team led by its M&A practice, through partners Bárbara Ramperti and María Laura Bolatti Cristofaro, and associates Agustina María Giordano and Martina Pagani. Centerview Partners also advised jointly, through a team led by Pierre Pasqual, together with Pauline Lavaud and Matthieu Romagné.
