Octavio Hernández joined Cervantes Sainz, S.C., in 2005, and has broad experience in representing clients in a wide range of domestic and cross-border corporate and financing transactions. These matters include advising private and public companies, banks and other financial institutions and private equity firms, among others.
Significant Representations
As a member of the Firm’s M&A and Finance practice groups, Octavio has:
▪Represented clients in various M&A deals and complex corporate financing restructurings;
▪Participated in the mediation and negotiation of various disputes related to corporate and commercial matters for clients owning businesses in Mexico and abroad;
▪Issued legal opinions on private and commercial law, including local and cross-border legal structures;
▪Designed, planned and coordinated corporate pre-litigation and litigation strategies on behalf of major Mexican entities, and in connection with commercial disputes, shareholders’ conflicts, minority rights and corporate governance matters;
▪Advised on financial and regulatory issues with respect to cross-border insolvency and restructuring procedures;
▪Represented U.S. public and private entities in its association with Mexican and U.S. investors, in the development, structuring, financing, construction and implementation of the tourist development in Mexico;
▪Advised the ad-hoc committee of U.S. note holders in the cross-border insolvency procedures;
▪Advised clients with respect to fund formation processes; and
▪Represented various clients in pro bono matters.
