Uría & Menéndez advises Advent International Corporation in tender offer

Uría & Menéndez has advised Advent International Corporation, one of the largest private equity houses in the US, in its tender offer to purchase the shares and convertible bonds of Parques Reunidos, S.A., a transaction which has not yet received the approval of the Spanish Securities Exchange Commission.

This deal is the first public to private transaction by a private equity fund in Spain, with a value of more than 170 Million Euros.

Uría & Menéndez advised on the various aspects of the transaction, including the design of its legal structure, the due diligence review of Parques Reunidos, S.A. and its affiliates, the negotiation of the irrevocable agreements with the majority shareholders, the study of the tax consequences of the transaction, the negotiation of the financing facilities and the drafting and filing of the tender offer with the Spanish Securities Exchange Commission.
