Gómez-Pinzón advises JetBlue Airways in Antitrust Evaluation  

Gómez-Pinzón advised JetBlue Airways Corporation in the antitrust evaluation and merger control procedure before the Colombian Civil Aeronautical Authority in the transaction by which JetBlue will acquire control of Spirit Airlines INC through the merger between Sundown Acquisition Corp (a subsidiary of JetBlue) and Spirit.

The transaction involves the relevant passenger air transport market, which implies the merger of two of the largest low-cost airlines in the world.

Obtaining an authorization decision was very complex as the parties have high market shares in several international routes between Colombia and the US, which raised preliminary antitrust concerns by the Authority in some of the routes affected by the transaction. However, the Firm’s antitrust team showed a deep understanding of the competitive dynamics in the relevant market and, after several discussions with the Authority regarding the effects of the transaction, obtained an authorization decision without the imposition of remedies on March 2023.
