Bomchil Advises CGC on Successful Closing of US$300 Million Notes Offering
Bomchil - Compañía General de Combustibles S.A. (‘CGC’) successfully completed the placement on the international and local markets of class 38 negotiable obligations with a nominal value of US$300,000,000, denominated and payable in US dollars at a fixed interest rate of 11.875% per annum and maturing in November 2030 (the ‘Negotiable Obligations’).
CGC is a leading company in the oil and gas industry, with activities including the exploration, exploitation and development of hydrocarbon deposits.
The Negotiable Obligations were issued on 28 November 2025 and placed on the international market in accordance with Rule 144A and Regulation S under the United States Securities Act of 1933. The proceeds from the placement of the Negotiable Obligations will be used to pay or refinance existing financial debt.
Citigroup Global Markets Inc., JP Morgan LLC, Morgan Stanley, Santander, Santander US Capital Markets LLC and Balanz Capital UK LLP acted as international underwriters (the ‘International Underwriters’), BCP Securities Inc. and Latin Securities Inc acted as international co-managers (the ‘International Co-Managers’) and Banco Santander Argentina S.A., Industrial and Commercial Bank of China (Argentina) S.A.U., Macro Securities S.A.U., Balanz Capital y Valores S.A.U. and Latin Securities S.A. acted as local placement agents (the ‘Local Placement Agents’) . Citigroup Global Markets Inc. acted as international settlement agent (the ‘International Settlement Agent’) and Latin Securities S.A. acted as local settlement agent (the ‘Local Settlement Agent’). The Bank of New York Mellon will act as indenture trustee, registrar, paying agent and transfer agent under the indenture, and Banco Santander Argentina S.A. will act as registrar, paying agent, transfer agent and representative of the indenture trustee in Argentina.
The negotiable obligations were authorised for listing on Bolsas y Mercados Argentinos S.A. and for trading on A3 Mercados S.A.
