Nader Hayaux Goebel (NHG) advised MercadoLibre, Inc. on Mexican legal matters in connection with its USD 1 billion U.S. debt offering of 5.850% senior unsecured notes due 2036.
The offering was conducted under MercadoLibre’s U.S. SEC-registered shelf program.
The notes are guaranteed by MercadoLibre subsidiaries across several Latin American jurisdictions, including Mexico, and the proceeds will be used for general corporate purposes.
A cross-border structure
The transaction features cross-border guarantees from MercadoLibre’s subsidiaries across multiple jurisdictions, reflecting a regional structure supporting the company’s access to international capital markets.
In addition to Mexico, the transaction involved Argentina, Brazil, Chile, Colombia and the United States and falls within the Debt Capital Markets practice.
The offering was announced on September 9, 2026 and closed on September 14.
According to the deal information, the transaction was executed in a challenging market environment and further strengthens MercadoLibre’s ability to access global capital markets.
