DLA Piper Argentina advises Industrial Acquisitions Fund in Milei Administration’s First Privatization
DLA Piper Argentina advised Industrial Acquisitions Fund, LLC (IAF), a special purpose vehicle of a group of investors led by ARC Energy, in its acquisition of 100% of the Class C shares in IMPSA S.A. held by Argentina’s National Government and the Province of Mendoza.
This transaction is the first privatization process to reach awarding to a private bidder and closing of the public asset divestment by the Government.
DLA Piper Argentina provided end-to-end legal support to IAF, including strategic counsel on navigating the complex regulatory framework governing the public bidding process, which concluded with IAF as awardee. It also led all M&A aspects of the transaction structuring, negotiations, and closing.
The firm is also acting as counsel to IAF in a debt restructuring process involving approximately US$580 million.
"This deal is a major achievement for IAF, being Argentina’s first privatization in almost 30 years. On behalf of our deal team, we are proud to have advised IAF and bring to bear our experience and industry-leading capabilities," said Joaquín Eppens Echagüe, the DLA Piper partner who led the deal team.
In addition to Joaquín Eppens Echagüe, the DLA Piper Argentina team included associates Rocío Yu, Ignacio Bard, Delfina Berger and Camila Rodriguez (all Buenos Aires).
