MHR and ZBV Advise on Landmark US$1.6 Billion Asset Management Merger

Zang, Bergel y Viñes has advised the BACS group on a transaction involving the integration of Investis Asset Management S.A.S.G.F.C.I. (rebranded as Vinci Compass Argentina) with BACS Asset Management, creating an expanded platform in the Argentine market.

The transaction integrates Investis Asset Management S.A.S.G.F.C.I. (rebranded as Vinci Compass Argentina) with BACS Asset Management. The merger creates an expanded asset management platform in Argentina with approximately US$1.6 billion in assets under management (AuM), combining BACS’ US$800 million in AuM with the existing portfolio of Vinci Compass.

The deal was executed through a complex, non-cash corporate reorganization. Vinci Compass will retain management of the combined entity, while shareholders of BACS Asset Management will hold a significant minority interest. The agreement incorporates an incentive-based earnout mechanism linked to asset and revenue growth via BACS and Banco Hipotecario’s distribution channels.

Martínez de Hoz & Rueda (MHR) represented Vinci Compass, while ZBV acted as counsel for the BACS group. Both firms managed the design of the corporate reorganization, the negotiation of governance and shareholder agreements, and the structuring of earnout mechanisms. Furthermore, counsel coordinated regulatory and contractual requirements within the context of the Argentine macroeconomic and legal landscape.

The transaction is expected to close in the second quarter of 2026, subject to customary closing conditions and regulatory approvals.
